Terms of Service

1. Acceptance of Terms

By accessing or using DueCounsel (“Service”), you agree to be bound by these Terms of Service and all applicable laws. If you do not agree with any of these terms, you are prohibited from using or accessing the Service. DueCounsel is intended for use by licensed attorneys and law firms only.

2. Description of Service

DueCounsel is an AI-powered legal deadline extraction and management platform. The Service uses artificial intelligence to analyze legal documents and identify deadlines, court dates, and action items. DueCounsel is a tool to assist attorneys — it does not provide legal advice and does not replace the professional judgment of a licensed attorney. All extracted deadlines must be verified by a qualified legal professional before reliance.

3. Accounts and Access

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • One account corresponds to one law firm (tenant). All users within your firm share a single tenant workspace.
  • You may not share your account with or transfer it to another individual or entity.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:
  • Upload documents you do not have the legal right to process.
  • Attempt to reverse-engineer, decompile, or extract the Service's AI models or algorithms.
  • Use the Service for any unlawful purpose or in violation of professional conduct rules.
  • Attempt to access data belonging to other tenants or firms.
  • Introduce malicious code, viruses, or perform denial-of-service attacks.

5. Data and Confidentiality

Documents you upload are processed on your behalf and stored securely. We do not share, sell, or use your document content to train AI models for other customers. Data is logically isolated per tenant. We implement reasonable technical safeguards; however, you remain responsible for ensuring the documents you upload comply with applicable privilege and confidentiality rules.

6. AI Limitations and No Legal Advice

The AI-extracted deadlines are provided as a convenience tool only. DueCounsel makes no warranty that extracted dates are complete, accurate, or current. You must independently verify all deadlines before calendaring or acting on them. Missing a legal deadline due to reliance on the Service is the sole responsibility of the user and their firm. DueCounsel expressly disclaims liability for missed deadlines.

7. Payment and Subscription

Certain features require a paid subscription. Pricing is based on page volume processed per billing period. Fees are billed in advance. We reserve the right to modify pricing with 30 days' notice. Refunds are not provided for partial billing periods. Failure to pay may result in service suspension.

8. Intellectual Property

The Service, including its UI, algorithms, and branding, is the exclusive property of DueCounsel and its licensors. You retain ownership of all documents and data you upload. You grant DueCounsel a limited license to process your documents solely for the purpose of providing the Service.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUECOUNSEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, MISSED DEADLINES, OR MALPRACTICE CLAIMS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Service will cease and your data will be retained for 30 days before deletion, unless required otherwise by law. Sections 6, 9, and 11 survive termination.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

12. Changes to Terms

We may update these Terms at any time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
